Lead Generation Service Terms
Effective from 12 September 2026
You pay two monthly management fees upfront. Your first service month starts when your campaign goes live. The service has a three-month minimum term and then continues on a 30-day rolling basis. Advertising spend and VAT are separate. The complete terms below form the agreement.
1. About these terms
These terms govern lead-generation services supplied by Daisy Leaf Ltd trading as Digitool, company number 11184040, whose registered address is Ransom Hall South, Ransom Wood Business Park, Southwell Road West, Mansfield, England, NG21 0HJ (“Digitool”, “we”, “us”).
They apply only where the customer is buying wholly or mainly for purposes connected with a trade, business, craft or profession. Our services are not offered to consumers.
2. Your agreement
Your order consists of these terms together with the package, coverage, services, add-ons and prices shown in your order summary. The agreement begins when we accept your order after payment or bank authorisation. If we cannot accept the order, we will tell you and return any payment taken.
If an agreed proposal or order summary expressly conflicts with these terms, the agreed proposal or order summary takes priority for that specific point.
3. The service
We provide a managed lead-generation service. Depending on your order, this may include campaign planning, advertising management, campaign landing pages, call and form tracking, access to our CRM system, reporting and selected lead-conversion add-ons.
We will use reasonable care and skill and may adjust targeting, adverts, budgets, landing pages and campaign structure where we reasonably believe this will improve performance or protect advertising spend.
4. Campaign launch
We will agree the work types and coverage with you and prepare the campaign after receiving the information, access, approvals and initial payment we require. A campaign is “live” when we confirm that paid advertising has started. Timescales discussed before launch are estimates and may change if approvals, platform reviews, customer information or third-party services cause delay.
5. Your responsibilities
You must provide accurate business, service, pricing, accreditation and coverage information; supply requested materials and approvals promptly; maintain any licences, insurance and permissions required for your work; and ensure that statements or offers you ask us to use are lawful and accurate.
You are responsible for answering and following up enquiries, giving quotations, completing work, collecting payment and updating lead outcomes in the CRM. You must treat leads lawfully, professionally and in accordance with applicable data-protection and direct-marketing rules.
6. Fees, VAT and advertising spend
Management fees and add-ons are charged at the amounts shown in your order. Prices are exclusive of VAT, which is added at the applicable rate. The initial payment is two complete monthly management fees, including selected add-ons, plus VAT.
Google or other advertising spend is separate from Digitool’s management fees. You must maintain the agreed advertising budget and pay or fund advertising spend when required. We will not materially increase the agreed advertising budget without your authority.
7. Monthly billing
The first service month begins on the campaign launch date. The second service month follows immediately and is covered by the initial payment. We will confirm the launch date and ongoing collection date in writing.
The first recurring monthly management fee is due two calendar months after launch and monthly thereafter. By selecting card or Direct Debit and completing checkout, you authorise us and our payment provider to retain the payment mandate or method and take the recurring fees described in your order until the agreement ends.
If payment fails or becomes overdue, we may pause the service and campaigns after giving reasonable notice. We may claim statutory interest and recovery costs where applicable to late business payments.
8. Minimum term and cancellation
The minimum term is three service months from the campaign launch date. After the minimum term, the agreement continues on a rolling basis and either party may end it by giving at least 30 days’ written notice.
Notice should be emailed to hello@godigitool.com. Fees and committed third-party costs remain payable during the notice period. We may end the agreement immediately for serious or repeated breach, unlawful conduct, non-payment, misuse of leads or conduct that risks our accounts or reputation.
9. The 30-day job guarantee
If you do not win at least one job attributable to the campaign during its first 30 consecutive live days, you may claim a refund of the Digitool management fees paid for the lead-generation service. Advertising spend and other third-party costs are not refundable.
A job is won when a customer generated by the campaign accepts a quotation, pays a deposit or makes a firm booking. The guarantee applies only if the campaign has remained funded and live, you have responded reasonably promptly to enquiries, supplied required information and approvals, and kept lead outcomes sufficiently up to date for the result to be checked.
You must make the claim within 14 days after the first 30 live days and provide reasonable information we request to verify the result. If we approve a guarantee refund, the lead-generation service and campaigns close and the agreement ends. The guarantee does not promise any particular number, value or type of leads.
10. Performance estimates
Lead numbers, customer numbers, job values, return-on-investment figures and population data shown on the website or in a lead plan are illustrative estimates based on previous campaigns, selected assumptions and information available at the time. They are not forecasts or guarantees.
Results vary with location, competition, season, budget, search demand, customer reviews, pricing, availability and how quickly and effectively enquiries are handled.
11. Advertising accounts and campaign assets
We normally build and manage campaigns within advertising accounts owned or controlled by Digitool so we can use our established systems and work efficiently. Digitool owns those accounts, campaign structures, campaign data, methods, templates and know-how. You do not acquire ownership of or access rights to them unless we agree otherwise in writing.
Campaign landing pages, tracking numbers and associated assets supplied as part of the managed service remain ours or our licensors’ property and may be withdrawn when the service ends. Your business names, logos, photographs and materials remain yours, and you give us permission to use them to deliver the service.
12. CRM system and add-ons
CRM access is supplied for managing leads generated through the service. You must keep login details secure, give access only to authorised staff and avoid uploading unnecessary or unlawful information. Automation add-ons support lead handling but do not replace appropriate human checks, quotations or customer service.
CRM access and automations may be disabled when the service ends. You should request any reasonably required export of your customer lead records before termination takes effect.
13. Third-party platforms
The service relies on third parties including advertising, communications, analytics, CRM, hosting and payment providers. Their policies, reviews, outages and product changes are outside our control. We are not responsible for a platform rejecting, restricting or suspending content or an account where we have acted with reasonable care, but we will take reasonable steps to resolve issues affecting the service.
14. Data protection and confidentiality
Each party must comply with applicable data-protection law. For business contact and account information we use for administration, billing and our own purposes, each party acts as an independent controller. Where we process personal data solely on your documented behalf, we will act as processor and apply appropriate security measures.
Each party must keep the other’s non-public commercial, customer and technical information confidential and use it only to perform or receive the service, unless disclosure is required by law.
15. Changes to the service
You may request changes to services, coverage or add-ons. We will confirm any effect on fees, advertising spend or timing before making a material change. Custom coverage and work outside the selected package require separate written agreement.
We may make reasonable operational or technical changes that do not materially reduce the service. We will give reasonable notice of material price or service changes taking effect after the minimum term.
16. Intellectual property
Digitool retains all rights in its processes, software, templates, reporting formats, campaign methods and materials created independently of your business. You may use reports and customer lead information supplied to you for operating your business, but may not copy, resell or provide our systems or campaign materials to another marketing provider.
17. Liability
Nothing in these terms limits liability that cannot lawfully be limited, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.
Subject to that, neither party is liable for indirect or consequential loss, loss of anticipated profit, loss of opportunity or loss caused by inaccurate information, customer lead handling or third-party platform failure. Our total liability arising from the agreement is limited to the management fees paid or payable to Digitool during the three months immediately before the event giving rise to the claim.
18. Events outside reasonable control
Neither party is responsible for delay or failure caused by an event outside its reasonable control. The affected party must take reasonable steps to reduce the effect and resume performance when possible. Payment obligations already due are not excused.
19. General terms
You may not transfer the agreement without our written permission. We may use suitable subcontractors and remain responsible for the service we provide. If any provision is unenforceable, the remainder continues. A delay in enforcing a right is not a waiver. The agreement does not create a partnership, agency or employment relationship and no third party may enforce it.
20. Governing law and contact
The agreement and any dispute are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
